NHC Foods shares hit the 5% upper circuit on September 17 after the company announced plans to acquire controlling stakes in two food and beverage companies, Lotmor Brands and Walya’s Beverages.
The proposed transactions would give NHC Foods up to 88% of Lotmor Brands and up to 80% of Walya’s Beverages. The company said the acquisitions are aimed at expanding its presence across the food and beverage value chain.

The consideration can be paid in cash or through the issue of NHC Foods equity shares at Rs 6.50 per share. The company has also stated that the price may be determined after six months in accordance with SEBI ICDR regulations.
Lotmor Brands operates across food and beverage trading, manufacturing and distribution. It has a presence across more than 20 states and around 22,000 retail outlets, including partnerships with Reliance Smart, D Mart and quick commerce platforms.
Walya’s Beverages operates across manufacturing, trading, wholesaling, import and export of food and beverage products. Its FY25 turnover was reported at around Rs 0.22 crore. Lotmor Brands reported FY25 turnover of around Rs 1.8 crore.
The acquisitions could broaden NHC Foods beyond its existing agricultural commodity processing and trading operations. The company plans to integrate the acquired businesses with its existing sourcing, processing and distribution capabilities.
NHC Foods Managing Director Satyam Shirishchandra Joshi said the company intends to build links between sourcing, processing, distribution and end markets rather than operate the businesses separately.
The company had also signed an MoU with Lotmor in July 2025 regarding potential manufacturing rights for beverages and similar products, indicating that its interest in the beverage segment predates the latest acquisition proposal.
