Founded in 2012, PhonePe operates one of India's largest digital payments platforms. It launched its UPI-based application in August 2016 and has expanded into merchant payments, lending distribution, insurance and investment services.
According to its prospectus, PhonePe maintained leadership in customer-initiated UPI transaction volume and value between December 2020 and September 2025.
The company was founded by Sameer Nigam and Rahul Chari and operates from Bengaluru, Karnataka.
PhonePe operates digital platforms across three major business areas:
The company generates revenue through payment services, merchant solutions, financial product distribution and other platform services.
PhonePe reported strong revenue growth between FY2023 and FY2025, although the company continued to record consolidated net losses.
| Financial Metric (₹ Crore) | FY2023 | FY2024 | FY2025 |
|---|---|---|---|
| Revenue from operations | 2,914.29 | 5,064.13 | 7,114.86 |
| Total income | 3,083.43 | 5,722.20 | 7,631.38 |
| Net loss | 2,796.07 | 1,996.17 | 1,727.41 |
Revenue from operations increased approximately 40.5% in FY2025, while the net loss narrowed compared with FY2024.
For the six months ended September 30, 2025, PhonePe reported:
| Financial Metric | H1 FY2026 |
|---|---|
| Revenue from operations | ₹3,918.47 crore |
| Total income | ₹4,174.51 crore |
| Net loss | ₹1,444.42 crore |
Revenue grew approximately 22.2% year-on-year, while losses increased compared with the corresponding six-month period in 2024.
Three existing shareholders plan to sell shares through the IPO.
| Selling Shareholder | Shares Offered (Up To) |
|---|---|
| WM Digital Commerce Holdings | 4,59,42,496 |
| Tiger Global PIP 9-1 | 10,39,160 |
| Microsoft Global Finance | 36,78,790 |
| Total | 5,06,60,446 |
Since the IPO is entirely an OFS, PhonePe will not receive proceeds from the sale. The money will go to the selling shareholders after applicable expenses and taxes.
Continued losses: PhonePe reported a net loss of ₹1,727.41 crore in FY2025 and ₹1,444.42 crore in H1 FY2026.
Dependence on payments: Consumer payments contributed 56.14% of revenue from operations in H1 FY2026, making the business sensitive to payment-related disruptions.
Processing costs: Higher charges from banks and payment partners could affect margins.
Regulatory exposure: Changes in UPI regulations, payment incentives and financial services requirements could affect operations.
Competition: PhonePe faces competition from other payment applications, financial institutions and fintech platforms.
PhonePe's revenue growth, established UPI presence and expansion into financial services are important business strengths.
However, continued net losses, payment-processing expenses, regulatory exposure and the valuation at which shares are offered remain important considerations.
Investors should examine the final price band, updated financial results and offer documents before evaluating the IPO.
